Troutman Sanders Advises ARRIS on $800 Million Acquisition
ATLANTA, Feb. 23, 2017 – Troutman Sanders LLP announced today that it advised ARRIS International plc on its acquisition of Brocade Communication Systems Inc.’s Ruckus Wireless and ICX Switch businesses.
The $800 million transaction will strengthen ARRIS’s leadership in the converged wired and wireless networking technology space. With the addition of this portfolio, ARRIS will create a business unit dedicated to addressing the needs of numerous vertical markets, including education, public venue, enterprise, hospitality and multiple dwelling units (MDU) segments.
ARRIS announced the acquisition jointly with Broadcom Limited; and the transaction is contingent on the closing of Broadcom’s acquisition of Brocade, which is expected to take place by July 30, 2017.
ARRIS is a longtime Troutman Sanders client. In 2011 the firm advised the company on its acquisition of BigBand Networks; in 2013 the firm advised the company on its $2.8 billion acquisition of Motorola Home from Google; and in 2015 the firm advised the company in connection with the acquisition of Active Video Network. More recently in 2015, the firm represented ARRIS in its $2.1 billion acquisition of Pace plc and the related formation of a U.K. holding company.
