Troutman Sanders Advises Charles Smith Wines on Acquisition by Constellation Brands
IRVINE, Ca. – Oct. 18, 2016 – Troutman Sanders is advising Washington-based Charles Smith Wines on its acquisition by Constellation Brands, Inc., a leading beverage alcohol company. The agreement was announced by Constellation Brands on October 17, and the deal is projected to close at the end of the month.
Constellation Brands agreed to pay $120 million to Charles Smith Wines for five wines - Kung Fu Girl Riesling, Velvet Devil Merlot, Boom Boom! Syrah, Eve Chardonnay and Chateau Smith Cabernet Sauvignon. The transaction is expected to solidify Constellation Brands’ position as the second largest supplier of Washington State wines. Under the terms of the agreement, Charles Smith will consult as a winemaker for Constellation Brands.
Troutman Sanders partner Megan Gess is leading the transaction, and lawyers Adam Kobos, Mitch Portnoy, Kirk Dungca and Austin Padgett are also working on the deal.
