Troutman Sanders Elects Nine New Partners
ATLANTA – Troutman Sanders LLP is pleased to announce the election of nine new partners. These partners practice in the firm’s Atlanta, New York, Raleigh, Richmond, San Francisco and Tysons Corner offices.
Kimberly Jill Hargrove (Tysons Corner/Finance) focuses her practice on lender representation in commercial real estate lending transactions, commercial finance, and troubled loan workouts. She represents a number of national, regional and local banks, and non-bank lenders, in all aspects of secured and unsecured credit transactions. This includes real estate acquisition, development and construction loans for many different types of commercial real estate. She also assists clients with health-care lending transactions and has particular experience with senior housing lending, complex loans secured by many types of personal or business assets, community development loans, loans to nonprofit entities, and loan purchases and sales.
Jack E. Jirak (Atlanta/Energy) represents and counsels clients in a wide range of energy-related matters from both a regulatory and transactional perspective. He has extensive experience in all aspects of the regulatory process, including in-depth involvement in cost of service rate-making, resource certification, construction cost monitoring and fuel cost recovery proceedings. Jack also has represented numerous clients in connection with the drafting and negotiation of power purchase, engineering, procurement and construction, operating and maintenance, and EEI master agreements and related credit issues.
Mark W. Jones (Richmond/Financial Institutions) focuses his practice on the transactional, corporate governance and disclosure needs of public and private companies, with an emphasis on capital raising transactions and mergers and acquisitions. He also advises public companies with respect to reporting under the Exchange Act and compliance with SEC regulations and market listing standards. Mark works with clients from a variety of industries, but has particular familiarity with financial institutions.
Angela Levin (Atlanta and San Francisco/Environmental & Natural Resources) assists clients with regulatory counseling, policy development, and enforcement under a range of environmental laws, with a focus on regulation of greenhouse gases under the Clean Air Act, management of retail and chemical products under the Toxic Substances Control Act and the Resource Conservation and Recovery Act, and assessment of biological resources impacts under federal and state protected species laws. In addition, she has a significant renewable project development practice, having served as environmental counsel for utilities and lenders in the acquisition of almost 2,000MW of solar and wind power generation in 2015.
Nora Garcia Nickel (Richmond/Multifamily Housing Finance) focuses her practice on commercial real estate matters, specializing in the multifamily housing industry, including lender representation in Fannie Mae and Freddie Mac lending programs. Her experience also includes assumptions of securitized Freddie Mac CME loans, affordable housing transactions and multi-property pool transactions.
Stephen C. Piepgrass (Richmond/Government Investigations, Compliance and Enforcement) focuses his practice primarily on regulatory enforcement actions and investigations, where he represents clients interacting with and being investigated by state attorneys general and other enforcement bodies. He also represents and advises clients in a variety of industries, as well as government entities, including consumer financial services entities, involved in legal and administrative proceedings and investigations.
Brad R. Resweber (Atlanta/Corporate) represents public and private companies in all aspects of corporate and securities transactions, including securities offerings, SEC reporting, corporate governance and compliance matters, mergers and acquisitions, business entity formations, and general corporate matters. He also devotes a significant amount of his practice to representing financial institutions and is experienced in acquisitions and dispositions, as well as bank regulatory compliance and capital raising activities for community banks. In addition, he has experience with intellectual property license arrangements, sponsorships and endorsements.
Irina Vainberg, Ph.D. (New York/Intellectual Property) focuses her practice on patent prosecution, client counseling and strategic portfolio development, opinions, due diligence and freedom-to-operate studies, as well as licensing and collaboration agreements in the fields of biotechnology and pharmaceuticals. She represents a range of clients, including universities, large corporations and biotech startup companies. She has extensive research experience in biochemistry, cell biology, molecular biology and genetics. Her patent experience also includes immunology, microbiology, virology, neurobiology, transgenic plant technologies, and pharmaceutical and cosmetic formulations.
Justin A. Wood (Raleigh and Atlanta/Finance) represents lenders and borrowers in all aspects of financing transactions, including structuring, documenting, negotiating, amending and working out term and revolving credit facilities, syndicated credit facilities, asset-based loans, debtor-in-possession financing, high yield notes offerings, and acquisition financing. His experience also includes advising public companies on routine corporate and commercial law matters, private equity sponsors on acquisitions and leveraged recapitalizations, multinational corporations on cross-border financings, and lenders and borrowers in turnarounds, workouts and restructurings.
