Troutman Pepper Steers Southfield Capital-Backed Protos Security’s Acquisition of Off Duty Services
NEW YORK – Southfield Capital, a premier lower middle market private equity firm, announced that Protos Security, a tech-enabled managed security services provider, has completed its strategic acquisition of Off Duty Services (ODS), a leading U.S.-based provider of off-duty police officers. Troutman Pepper advised Southfield Capital and Protos Security in the transaction.
Headquartered in Katy, Texas, ODS is a managed services provider of off-duty officers to Fortune 500 clients and has the largest network of off-duty officers in the country. The company has a national customer base across diverse end markets and enables customers to outsource the burden associated with managing, procuring, scheduling, and insuring off-duty officers.
The Troutman Pepper team advising Southfield Capital and Protos Security was led by corporate partners Nicholas Stawasz and Matt Greenberg and included Taylor Bartholomew, Ben Bevilacqua, Sam Griffith, and Alyson Tseng (corporate); Barbara Sicalides (antitrust); Michael Crumbock and Nida Javaid (benefits); Brad Boericke and Frank Montes de Oca (finance); David Wormser (intellectual property); Tracey Diamond (labor & employment); Chris Chuff (litigation); and Howard Goldberg and Thomas Phelan (tax).
Troutman Pepper previously advised Southfield Capital and Protos Security in the acquisition of Mulligan Security back in January. That acquisition created one of the largest security firms in the country and enabled Protos Security to provide greater program flexibility and high-quality services to its clients.
Southfield Capital is a private equity firm that invests in high-growth, lower middle market companies in the outsourced business services sector.
