With clients that include some of the largest banks and utility companies in North America, Justin Boose tackles high-dollar projects and advises on compliance issues by staying ahead of economic and regulatory changes affecting the industry.

Justin represents lenders, investors, developers, and regulated and nonregulated utilities on all types of transactions for renewable and traditional energy projects. His experience is heavily concentrated in solar and wind projects but also includes natural gas, liquefied natural gas, cogeneration, ethanol, biogas, biomass waste energy and water projects. He advises clients at every step of the project life cycle, including project origination, development, construction, finance operation and disposition.

Justin regularly handles tax equity transactions (partnership flip, inverted lease, sale-leaseback structures), private equity investments (IRR-based flip, GP/LP structures), M&A transactions (membership interest/asset purchase agreements) and project development transactions (power purchase, EPC and related service agreements).

Justin also represents clients on energy trading and hedging transactions (power, renewable energy, natural gas, RECs and emissions allowances). He negotiates and implements energy trading agreements (ISDA, EEI and NAESB), hedging arrangements, netting and credit requirements, and risk management policies. In addition, Justin represents energy clients at FERC and various state commissions regarding energy regulatory and policy-making matters.

Representative Matters

Project Development and Finance

  • Represented a leading U.S. bank in establishing a $100 million partnership tax equity fund for residential solar installations.
  • Represented a Southeastern utility in the acquisition and development of a 40-MW solar PV facility with the TVA in Tennessee.
  • Represented a Southwestern utility in the acquisition and development of a 200-MW solar PV facility on tribal land in Nevada.
  • Represented a financial institution in the financing of a 50-MW portfolio of utility-scale solar facilities in North Carolina.
  • Represented a leading U.S. bank in the financing of a 45-MW portfolio of utility-scale solar facilities in California.
  • Represented a leading energy developer in the negotiation of PPAs and interconnection agreements for a portfolio of Long Island, New York-based generation assets totaling 60 MW and representing $920 million in revenue.
  • Represented an LNG developer concerning the negotiation and administration of EPC contracts for a terminal facility development.
  • Represent a leading solar developer in the creation of a residential solar lease, PPA and direct financing agreements.
  • Represent a Southeastern utility company in the acquisition of a 50-MW portfolio of solar generation assets.
  • Represented a leading utility company in a $25 million residential solar tax equity finance transaction that will fund approximately 1,000 projects in six Northeastern states.
  • Represented one of the nation’s largest banks in the financing of a 12-MW utility-scale solar facility (approximately $60 million in value) in New Mexico.
  • Represented one of the nation’s largest banks in the financing of a 10-MW behind-the-meter solar facility in Ohio.
  • Represented a leading U.S. bank in the financing of approximately 10 MW in distributed solar generation facilities in California.
  • Represented one of the nation’s largest banks in the financing of a 55-MW utility-scale solar facility (approximately $250 million in value) in New Mexico. The bank provided the construction financing and will provide the long-term financing.
  • Served as counsel to New York- and New Jersey-based solar developers with respect to EPC and equipment supply agreements.
  • Represented a major oil company renewable energy affiliate in the acquisition of 35 MW of wind farms in New York.
  • Represented a leading wind developer concerning power purchase agreements for utility-scale wind farms.
  • Served as counsel to a utility company in evaluating and negotiating the acquisition of a solar power project.
  • Served as counsel to a regulated utility company in the development and sale of power from an anaerobic digester biogas generation facility.
  • Served as counsel to a utility company in evaluating the acquisition of wind power assets.
  • Served as counsel to a leading wind developer with respect to turbine supply and balance of plant EPC agreements.
  • Served as counsel to a renewable energy developer in negotiating a turbine procurement agreement.

  • Served as counsel to a wind power developer concerning the acquisition of project development opportunities.
  • Served as counsel to a regulated utility concerning state approvals for the acquisition of affiliate-owned generation assets.
  • Served as counsel to a solar developer concerning PPAs, lease arrangements and Section 1603 grant applications.
  • Served as counsel for a multistate electric utility concerning renewable RFP purchases.

Energy Regulatory

  • Served as counsel to LNG developers regarding FERC authorizations to construct and operate LNG terminals and related pipeline facilities.
  • Served as counsel to natural gas storage companies concerning FERC authorization to construct and related tariff matters.
  • Represent independent power producers regarding exempt wholesale generator and qualifying facility authorizations.
  • Assist regulated utilities and electric power companies in triennial market power analysis.
  • Served as counsel to a qualifying facility owner concerning the application of change in law doctrine to emissions allowance and reporting requirements under regional greenhouse gas initiative.
  • Represented a regulated utility and power marketing affiliate in FERC refund proceedings and related litigation.
  • Represented natural gas pipeline companies concerning FERC tariffs.
  • Represent utilities and power marketers in BPA ratemaking proceedings.
  • Represent a regulated utility in state PURPA enforcement proceedings.
  • Represent a generation owner regarding the implementation of electricity sales under LIPA tariffs.
  • Represent independent power producers regarding membership in NYISO, ISO-NE, PJM, CAISO and other regional markets.
  • Represent independent power producers in FERC proceedings regarding termination of utility mandatory purchase obligations under PURPA.
  • Served as counsel to a regional utility concerning FERC hydroelectric facility re-licensing applications.

Energy Marketing and Trading

  • Seconded to several merchant energy trading companies to negotiate swap and hedge transactions and manage energy commodity risk.
  • Represented renewable energy companies regarding the sale of renewable energy credits and emissions allowance.
  • Represent an independent power producer in physical and financial power hedge transactions.
  • Represented a biofuels developer regarding a first-lien secured hedge facility.
  • Served as counsel to swap parties concerning the end-user provisions of the Dodd-Frank Act.
  • Served as counsel to a U.S. steel manufacturer regarding bulk coke supply agreements.
  • Served as counsel for independent power providers, utilities and trading companies for emissions allowance and greenhouse gas trading.
  • Represented a natural gas company regarding the purchase and sale of spot LNG cargos.
