Mary Weeks is an associate in the Securities Litigation and Business Litigation practices at Troutman Sanders LLP. Her practice includes the defense of corporations and directors and officers in securities matters and other complex business disputes, including cases involving fraud, breach of fiduciary duty, breaches of contract, negligence, professional malpractice, and various other business torts. She has experience litigating in both federal and state courts and also has represented corporate entities in arbitration proceedings.

Representative Matters

  • Successfully settled dispute with minority member of LLC who asserted claims for breach of fiduciary duty and breach of the operating agreement against the majority members.
  • Obtained summary judgment in favor of stockholders in Washington dissenters' rights proceeding (removed to federal court) seeking fair value of shares following a corporate reorganization and an order of judgment against defendants, including recovery of attorney's fees incurred in the representation.
  • Represented and advised corporations and their directors and officers in numerous putative shareholder class actions challenging merger and acquisition transactions and alleging various breaches of fiduciary duties and violations of federal securities laws, including securing favorable outcomes at the preliminary injunction and motion to dismiss stages through negotiating settlements and obtaining dismissals of all claims.
  • Obtained pre-discovery dismissal of purported state law negligence claims against bank’s individual officers and directors as properly preempted by the Securities Litigation Uniform Standards Act of 1998 (SLUSA).
  • Obtained pre-discovery dismissal of action alleging ERISA and other state law claims against a former corporate director and officer arising from a putative class action.
  • Represented and advised numerous financial institution directors and officers in investigations and lawsuits involving the FDIC.
  • Served as counsel to multiple corporate members of limited liability companies in disputes among members for breach of contract and other tort claims raised in both state court actions and arbitration proceedings.
  • Represented executive staffing company in arbitration proceeding and obtained favorable settlement of negligence, breach of fiduciary duty, aiding and abetting breach of fiduciary duty, breach of contract, and unjust enrichment claims brought by federal receiver.
  • Obtained favorable settlement for pharmaceutical company in connection with breach of contract and business tort claims arising from an asset purchase agreement.
