Troutman Sanders’ real estate attorneys have deep knowledge of the energy industry and have handled a variety of matters for a broad range of energy clients, including all aspects of real estate acquisition and transfer; financing; stock offerings; asset management; subsurface pipeline and other related easements; ground leases and space leases; mergers and acquisitions; joint ownership agreements and joint ventures; restructuring ownership interests; as well as royalties disputes. We have also advised energy clients in connection with all forms of title insurance in connection with both surface and mineral estates; construction; negotiations with municipalities; permitting and entitlements, including without limitation zoning and public hearing issues; transit oriented development matters; and significant infrastructure and land use due diligence.

Additionally, our attorneys have had experience representing regulated public utilities; municipalities; solar project investors and owners; and foreign utility companies across the country in connection with easements for transmission lines and related facilities; acquisitions and dispositions of power generation facilities and adjacent land; and wind turbine and solar projects and facilities. We have also represented large foreign and domestic oil, gas, and tank storage companies in connection with the sale and acquisition of pipeline facilities, handled the negotiation of pipeline easements, and dealt with the federal, state, and local regulations of pipeline facilities.

In the utility-specific arena, we have broad experience representing utilities in connection with the restructuring of ground leases and subleases related to power generation and transmission facilities and the construction of solar power facilities located on the land of unrelated third parties. We also have handled various matters for our utility clients involving acquisitions of leasehold and easement rights for the development of solar and wind turbine facilities, main line relocations and air rights matters. Our attorneys also work extensively on the complex financing components of renewable transactions.

  • Representation of the subsidiary of a publicly-owned company in connection with the real estate aspects related to the acquisition of a 139 MW solar project located on approximately 1,400 acres of land in California, including easements for transmission lines and related facilities.
  • Representation of a renewable energy client in seeking local, state and federal approvals for the construction of solar and wind farms and related potential impact on military installations and obstruction of air navigation in North Carolina.
  • Real estate counsel for an international chemical storage company in its $18 million acquisition of a port facility.
