Stephen (“Steve”) Hall helps clients develop, acquire, sell, finance, and invest in renewable energy and conventional power projects, including solar, wind, biomass, natural gas-fired facilities, cogeneration and energy storage. His experience includes assisting clients with the acquisition and evaluation of such power projects, and in the negotiation of the underlying power purchase agreements ("PPAs"), energy storage agreements, tolling agreements, interconnection, transmission, EPC, fuel supply, wind turbine supply, PV module supply, balance of plant ("BOP"), equipment procurement and other operating agreements that such projects require. In addition to his broad experience with utility scale solar and wind energy projects, Steve has assisted clients with the acquisition and development of community-scale wind projects, community solar projects, and rooftop and smaller ground-mounted distributed generation solar facilities. He has negotiated power, energy storage, renewable energy credit ("REC"), capacity, resource adequacy, carbon offset, landfill gas, energy efficiency and demand response purchase contracts. He has represented utilities and their competitive subsidiaries and independent power producers before state and federal administrative agencies, including the Bonneville Power Administration and the Federal Energy Regulatory Commission. He has acted as counsel to independent power producers, renewable energy developers, major utilities and their competitive subsidiaries, community choice aggregators ("CCAs"), lenders, tax equity investors, investment banks, power marketers, and large commercial and industrial users of electricity, including manufacturing facilities and data centers.

Steve is a frequent speaker on the subjects of energy-related project development and finance, power purchase agreements, energy storage, renewable energy credits and carbon offsets, transmission and regulatory issues, and the integration of wind and solar resources.

Representative Matters

  • Counsel to ten California CCAs for energy, renewable energy, and energy storage procurement.
  • Represented independent power producers, power marketers, and renewable energy developers in utility request for offer ("RFO")/request for proposal ("RFP") procurement processes.
  • Represented a California city in the negotiation of a community benefits agreement between and among the city, the power plant owner and the local electric utility providing for significant benefits to the city, including the decommissioning, demolition, and removal of a 965 MW power plant.
  • Counsel to multiple energy companies and tax-equity investors in the evaluation and acquisition of wind, solar, and energy storage assets, including assets located in California, Montana, South Dakota, Hawaii, Arizona, Nevada, Oregon, Nebraska, Ohio and Indiana.
  • Represented the State of Oregon in the development of the largest solar highway project in the United States.
  • Represented a Fortune 100 data center client in the development and lease of a 20 MW solar PV facility located in Nevada.
  • Represented a major U.S. solar development company in PPA negotiations for development of utility-scale PV solar projects throughout the U.S.
  • Represented a solar developer in the development and financing of one of the nation's first significant solar PV projects on a U.S. military installation.
  • Represented a Fortune 100 data center client in the negotiation of power supply arrangements with a public utility district in the Pacific Northwest.
  • Represented a national retailer of renewable energy credits in negotiation of a multiyear contract to supply a major utility with renewable energy credits and green marketing services.
  • Represented a broad coalition of wind developers before the Bonneville Power Administration in a successful challenge to the level and scope of proposed wind integration transmission charges.
  • Represented a major public power agency in negotiations of co-development agreements with private developers of wind, biomass, natural gas, and solar.
  • Assisted buyers and sellers of electricity and natural gas with drafting and negotiation of customized agreements, as well as standard forms of documentation, including the EEI Master Agreement, ISDA Master Agreement, NAESB Agreement and the WSPP Agreement.
  • Represented major U.S. corporations in the negotiation and purchase of retail electricity and natural gas under direct access contracts with independent suppliers.
