U.S. Federal Trade Commission Grants Early Termination of Waiting Period Under Hart-Scott-Rodino
Troutman Sanders was mentioned in an April 1 Financial Wire article about the U.S. Federal Trade Commission granting early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act with regard to U.S.-based utility operator Southern Co.’s deal to acquire U.S.-based utility and energy technologies PowerSecure International, Inc. The deal is conditional upon the approval of PowerSecure’s stockholders; but if passed, those stockholders will be entitled to receive $18.75 in cash for each share of PowerSecure common stock in a transaction with a purchase price of approximately $431 million.
