James Stevens provides corporate and regulatory advice to our clients. He has substantial experience in the representation of public and private companies, including financial institutions, marketplace lenders and other fintech and financial services companies, in connection with their corporate governance matters, mergers and acquisitions, securities offerings, and regulatory reporting and compliance. James often serves as the principal outside counsel for these clients.

Representative Matters

  • Buyer and sellers in the financial services, manufacturing, building products, telecommunications, business consulting and other industries in more than 100 mergers, acquisitions and divestitures
  • Issuers in more than 80 public and private debt and equity offerings
  • Real estate investment companies in connection with equity capitalization, including through broad private placements
  • Issuers and private equity investors in controlling and non-controlling private equity investments involving the preservation of deferred tax assets, regulatory control avoidance and other complex issues
  • Corporate governance matters at all stages from formation to sale, including in connection with distressed companies, litigation, regulatory issues and disputes
  • Parties to employment, change in control, restricted stock and stock option, technology, purchase, supply and other commercial agreements
  • Bulk asset purchases and sales, proxy contests, failed bank acquisitions, charter conversions and bank holding company formations
  • Regulatory and compliance matters before federal and state regulators
