ATLANTA – Troutman Sanders LLP has advised ARRIS International plc (NASDAQ: ARRS), a leader in entertainment communications solutions, in its private equity-backed, $7.4 billion acquisition by CommScope (NASDAQ: COMM), a leader in infrastructure solutions for communications networks. The deal advances CommScope’s vision of shaping communications networks of the future and, as part of CommScope’s financing of the transaction, reestablishes the ownership position of The Carlyle Group, a global alternative asset manager.
ARRIS was advised by Troutman Sanders’ corporate attorneys Brinkley Dickerson, Tyler Dempsey, Heather Ducat, Sean Ehni, Tina Bacce, Cody Mathis and Anthony Kennedy; tax attorney Robert Friedman; benefits attorneys Jeff Banish and Constance Brewster; intellectual property attorneys Jim Schutz and Brennan Carmody; labor and employment attorney Ashley Hager; and finance attorney Hazen Dempster.
ARRIS is a longtime Troutman Sanders client. Troutman Sanders partner Brinkley Dickerson began working with ARRIS in connection with its 1991 IPO, and in the intervening 25+ years, has led the Troutman Sanders team that advised ARRIS on dozens of acquisitions, financings and other matters. Most recently, Troutman Sanders advised ARRIS on ARRIS’ $2.8 billion acquisition of Motorola Home from Google and its $2.1 billion acquisition of Pace plc and the related formation of a U.K. holding company. In 2017, Troutman Sanders also advised ARRIS in its $800 million acquisition of Brocade Communication Systems Inc.’s Ruckus Wireless and ICX Switch businesses.
