Pepper’s Private Funds Events are special events that focus on issues facing the full spectrum of private investment funds. Whether you are a hedge, private equity or other alternative investment vehicle, these events offer the opportunity to hear from specialists about the latest regulatory developments that are affecting the private fund industry. Some of the Private Funds Events focus more on private equity, some on venture, some on hedge, and some on real estate PE.
In this session, we are joining forces with Stephenson Harwood LLP to discuss some of the challenges that U.S. managers face doing business in Europe. Our speakers, Pepper partners Joan C. Arnold and Julia D. Corelli, along with Richard Small, partner and Katherine Dillon, senior associate at Stephenson Harwood LLP will discuss the following topics:
- Structuring fund vehicles to limit regulatory burdens
- Structuring U.S. funds to reduce U.S. tax burdens for non-U.S. investors
- Marketing funds under the AIFMD (including soft marketing and reverse inquiry)
- Change of control and the prohibition on asset stripping (of particular relevance to private equity funds)
- Short selling (of particular relevance to hedge funds)
- Remuneration, including disclosure of carried interests
- The consequences for U.S. firms of the UK exiting the European Union (the so-called "Brexit").
