Troutman Sanders Advises ARRIS on $2.1 Billion Acquisition of Pace plc
ATLANTA – Troutman Sanders LLP announced today that it is advising firm client ARRIS Group, Inc., a global innovator in broadband media technology, in its recently-announced acquisition of Pace plc for aggregate stock and cash consideration of U.S. $2.1 billion (£1.4 billion). Pace is a leading provider of technology solutions to the PayTV and broadband industries.
According to a press release issued by both companies, the deal is expected to close in late 2015 and will result in the formation of New ARRIS. That company will be incorporated in the United Kingdom with its operational and worldwide headquarters located in Suwanee, Georgia. The proposed transaction has been approved by the respective Boards of Directors of ARRIS and Pace.
