Joe advises registered funds, private funds, their managers, and sponsors in connection with organizational, offering, transactional, and compliance matters. He regularly works with a variety of fund structures, including open-end and closed-end funds and private equity funds, and represents investment companies in the series trust structure. He also counsels investment advisers on various matters, including registration and disclosure issues.
Joe is equally experienced working with clients in connection with public and private securities offerings and SEC reporting. He represents investment banking firms and placement agents in a variety of securities offerings, including shelf offerings, medium-term note programs, and continuous "at-the-market" equity offerings. Joe also regularly advises clients in connection with venture capital financings.
While attending law school, Joe served as judicial intern to the Honorable Kevin R. Huennekens in the U.S. Bankruptcy Court for the Eastern District of Virginia.
