Raina focuses her practice on the tax aspects of domestic and cross-border transactions. She regularly counsels clients with respect to reviewing indentures, offering circulars, private placement memoranda, credit agreements, subscription agreements, and partnership agreements. Raina also analyzes tax and structuring considerations relating to various structured finance instruments and fund structures. She has represented both public and private companies in acquisitions, financings, and offerings of debt and equity, covering all aspects of a deal from auction draft negotiation to post-closing restructuring.
Additionally, Raina reviews purchase agreements and limited partnership and limited liability company agreements, assisting in structuring acquisitions of equity and assets in complex cross-border transactions.
Raina also assists pro bono clients with the preparation and filing of guardianship petitions, as well as asylum applications and interviews.
Prior to joining the firm, Raina worked as an associate at two global law firms.
