LONDON – Troutman Pepper Locke advised Shaires Holdings Ltd. (Shaires), a publicly quoted investment company providing investors with exposure to leading private mid- and late-stage global technology and AI companies, in establishing its initial investment portfolio. For more information, see the press release.
Shaires acquires stakes in high-quality private AI businesses before they reach public markets, building a concentrated portfolio with strong long-term growth prospects and giving retail and institutional investors access to value creation that has traditionally been difficult to access. The initial portfolio consists of binding agreements, subject to customary closing conditions, providing exposure to seven leading private technology and AI companies: Anthropic, Stripe, ByteDance, Moonshot AI, Figure AI, SandboxAQ, and Colossal Biosciences, with an aggregate value of up to $86.7 million. At the same time as establishing its initial investment portfolio, Shaires is conducting a retail offer to U.K. investors only pursuant to which a Capital Access Window has been initiated, believed to be the first time this new feature has been used under the recently revised AIM Rules.
The Troutman Pepper Locke team that advised Shaires was led by Sean Page and included Gene McDermott and Tom Bohac on U.S. securities law matters, with additional support from Charlotte Whitley-Roberts and Thomas Finan.
