Troutman Pepper Locke Represents Avem Partners in Acquisition of FMI Aerostructures

Troutman Pepper Locke advised Avem Partners (Avem), a leading private equity firm specializing in lower middle market aerospace and industrial investments, in closing its acquisition of substantially all the assets of Dynamic Aerostructures, Inc., and its affiliates, including Dynamic Aerostructures Intermediate, LLC, and Forrest Machining, LLC (collectively, FMI Aerostructures). FMI Aerostructures is a leading manufacturer of aerospace and defense components, supplying mission-critical parts for fighter jets, commercial aircraft, and spacecraft. 

The acquisition, finalized through a court-supervised sale process, marks a pivotal step for Avem as it continues to expand its footprint in the aerospace and defense sector, while providing FMI Aerostructures with a path forward to stabilize and grow under new ownership. FMI Aerostructures, which operates a 226,000-square-foot facility — one of the largest independent aerospace manufacturing sites in North America — filed for Chapter 11 bankruptcy protection on February 25, 2025. Avem emerged as the winning bidder in a Section 363 sale process.

Avem plans to leverage its extensive network to strengthen FMI Aerostructures’ relationships with key customers, enhance its manufacturing processes, and position the company for long-term success in the competitive aerospace market.
