CHICAGO – Troutman Pepper Locke advised The Baldwin Group, Inc. (Baldwin), an independent insurance distribution firm, as insurance regulatory counsel in connection with its $7.7 billion all-cash take-private transaction with Sequence Holdings (Sequence) and DFO Management (DFO). Upon completion, Baldwin will become a privately held company, with eligible Baldwin colleagues retaining a significant minority equity stake alongside Sequence, a permanent holding company that acquires established enterprises in the service economy, and DFO, the family investment office of Dell Technologies founder Michael Dell. The transaction is expected to close in Q1 2027, subject to shareholder approval, regulatory approvals, and other customary closing conditions.
