This Global Privacy Notice describes how Troutman Pepper Locke LLP, its wholly owned subsidiaries, and Troutman Pepper Locke (UK) LLP (collectively, “Troutman Pepper Locke,” “we,” “us,” or “our”) collect, use, disclose, or otherwise process information that identifies you or could reasonably be used to identify you (“Personal Data”). Unless otherwise specified, Troutman Pepper Locke is the controller of, and responsible for, the Personal Data we process under this Global Privacy Notice.

This Global Privacy Notice applies to Personal Data that Troutman Pepper Locke processes both online and offline when you:

  • visit our offices,
  • use our websites or mobile applications (the “Sites”),
  • attend our virtual or in-person events,
  • receive our emails, or
  • interact with us, including in other business contexts

(collectively, the “Services”).

We may also process information about individuals in the course of providing legal services to our clients. That processing is subject to our client agreements and professional obligations and is not covered by this Global Privacy Notice.

1) Personal Data We May Collect

The types of Personal Data that we collect about you depend on how you interact with us and our Services. We may collect information that:

  • you voluntarily provide to us,
  • we obtain automatically when you use our Services, or
  • we obtain from other sources, such as third-party services and organizations.

a) Information You Voluntarily Provide to Us. We collect Personal Data that you voluntarily provide to us. For example, you may give us Personal Data when you contact us (including on behalf of an organization with which you are affiliated); request alerts, event invitations, newsletters, or other informational materials; register for a webinar or event; complete a form; respond to a survey; or otherwise communicate with us.

The categories of Personal Data that we may collect directly from you include: 

  • Identifiers, such as your name, address, email address, telephone number, bar number, signature, government-issued identification number, account credentials (for example, your username), as well as other similar identifiers.
  • Professional and Educational Information collected in a business context, such as your current or former employers, job title, information about the organization with which you are affiliated, and professional qualifications (for example, your bar number, degrees, professional memberships, qualifications, and certifications).
  • Contact Information and Preferences, such as your stated interests, meal or other preferences when you attend our events, your preferred methods of contact, and how frequently you wish to receive our publications or other communications.
  • Audio and Visual Information, such as your voice or image captured in photos, video, or audio recordings when you attend our events, visit our offices, or leave us a voicemail.
  • Commercial information, such as records of services you obtained from us, including where you interact with us on behalf of an organization with which you are affiliated.

b) Information We May Collect Automatically. We automatically collect certain Personal Data through your use of our online Services. We do this through cookies, pixel tags, and similar tracking tools (collectively, “Collection Technologies”). The information we collect in this way may include:

  • Identifiers – Information that can uniquely identify you, such as your name, email address, username, cookie ID, and other online identifiers.
  • Device Information – Details about the device you use to access our Services, such as your IP address, device type, device ID, operating system and version, MAC address, user settings, and browser type.
  • Internet or Other Electronic Network Activity Information – Information about how you interact with and use our Services, such as your browsing history, search history, pages you visit, links you click, the types of content you view, and the frequency and duration of your activities.
  • Geolocation Information – General information about where your device is located, such as the region or approximate area from which you access the internet.

c) Information We Collect from Other Sources. We may receive Personal Data about you from sources other than directly from you. These sources can include our clients, employees, business partners, advertising and marketing partners, and business contact databases or enrichment services. We may also obtain information about you from social media platforms when you interact with us or view our contact there. In addition, we may collect information about you from publicly available sources, such as public social media profiles, publications, websites, and other materials available through search engines.

From these sources, we may collect the following categories of Personal Data:

  • Identifiers, such as name, telephone number, address, email address, government-issued identification number, and social media identifiers.
  • Professional and Educational Information collected in the business context, such as your current or past employers, business contact information, job title, languages, information about the organization with which you are affiliated or professional memberships, as well as your qualifications, licenses, and certifications.

2) How We May Use Personal Data

We may use your Personal Data for the purposes described below. Further details about the legal basis for each of these purposes is set forth in the Supplemental Disclosures section below.

a) Providing our Services and Communicating with You. We may use Personal Data to deliver and manage our Services and to communicate with you. This includes, for example, when you contact us with a comment, request, or question; register for an event or webinar; request legal services; or when we send you announcements, invitations, publications, and other information, materials, or tokens of appreciation that may be of interest. We may also use Personal Data to send technical notices, updates, security alerts, and other administrative messages, and to personalize your interactions with us, such as by remembering your interests and preferences and facilitating introductions and other interactions.

b) Administrative, Regulatory, and Compliance Purposes. We may use Personal Data for a variety of operational and compliance-related purposes, such as to operate, troubleshoot, repair, and improve our Sites and other digital properties; secure and enhance our Services; administer and enforce our agreements and policies (including this Global Privacy Notice) and notify you of changes; carry out activities necessary to comply with our legal obligations imposed by law (including obligations arising under laws, regulations, decrees, court orders, or legal settlements); investigate illegal activities, suspected fraud, or potential threats to the safety of any person; provide evidence in litigation involving us or our clients; and for other legitimate business purposes as permitted by law.

c) Marketing and Advertising our Services. We may use Personal Data to market and promote our Services in accordance with our professional obligations, internal guidelines, and applicable law. For example, we may use Personal Data to distribute our publications, offer online or in-person events, inform you about Services that may be relevant to you, and measure interest in and engagement with our Services.

d) De-identifying and Aggregating Information. We may use Personal Data to create de-identified and/or aggregated information, such as demographic information, information about the device you use to access our Services, or other analytical data we generate. We may use this de-identified or aggregated data for the purposes described in this Global Privacy Notice and afford it appropriate protections as required by applicable data protection and other laws.

e) Other Uses With Your Consent or as Permitted by Law. We may also use Personal Data for other purposes with your consent, as requested by you, or as otherwise required or permitted under applicable law.

3) How We May Disclose Personal Data

We may disclose Personal Data for a variety of business purposes, including to provide our Services, to protect our rights or the rights of others, and in connection with significant business transactions (such as a merger, sale, or transfer of assets), as described below. We may also disclose Personal Data where required, appropriate, or otherwise permitted by applicable law.

a) Disclosures to Provide our Services. We may disclose the Personal Data we collect to the following recipients to help us deliver and support our Services:

  • Service Providers. We may disclose your Personal Data to companies and individuals that provide services for us or help us operate the Services (for example, customer support, website hosting, data analytics, email delivery, marketing, and database management). These entities may use your Personal Data only as directed or authorized by us and are not permitted to use or disclose your Personal Data for any other purpose. 
  • Marketing/Advertising Partners. We may disclose your Personal Data to our marketing and advertising partners so they can help us promote, measure, and improve our Sites and Services (for example, through email campaigns and analytics).
  • Professional Advisors. We may disclose Personal Data to our professional advisors, such as lawyers, auditors, and insurers, when necessary. Our professional advisors may use Personal Data only as directed or authorized by us and are not permitted to use or disclose your Personal Data for other purposes.
  • Affiliates. We may disclose Personal Data to our affiliates (entities we own, that own us, or that are under common ownership with us) for administrative or regulatory compliance purposes, IT management, or for them to provide services to you or support and supplement the Services we provide.
  • Social Networks. Your Personal Data may be disclosed through social networks if you interact with our social media accounts or use social media widgets on our Sites or digital properties (for example, Meta, X, or LinkedIn). These features may allow those platforms to collect or share information about you. Please note that your interactions with each platform are governed by that company’s own privacy policy.

Under certain applicable privacy laws, certain disclosures to Marketing/Advertising Partners and Social Networks may be considered a “sale” or “sharing” of Personal Data or the processing of Personal Data for “targeted advertising.” To learn how to opt out of these activities, please review Section 7(d) (Request to Opt Out of Sale or Sharing/Targeted Advertising) below.

b) Disclosures to Protect Us or Others. We may disclose Personal Data for legal, security, and compliance-related purposes, including:

  • Legal Compliance and Safety. We may disclose your Personal Data for compliance, fraud prevention, and safety purposes, including in connection with legal proceedings, to respond to legal or regulatory inquiries, or to assert or defense against claims in a legal or regulatory context.
  • Compliance with Legal Process or in the Public Interest. We may disclose your Personal Data if we believe in good faith that doing so is required or appropriate to: respond to law enforcement or national security requests; comply with legal processes such as court orders or subpoenas; protect the rights, property, or safety of you, us, or others; enforce our policies or contracts; collect amounts owed to us; or support an investigation or prosecution of suspected or actual unlawful activity.
  • Business Transactions. We may disclose your Personal Data in connection with a business transaction (or potential business transaction), such as a merger, consolidation, acquisition, or in connection with a reorganization, bankruptcy, or dissolution.

c) Disclosures With Your Consent or at Your Direction. We may also disclose your Personal Data with your consent or at your direction. For example, we may share your name and contact information with a co-sponsor of an event that you attend or with a co-author of a publication you request.

4) Retention of Personal Data

We retain Personal Data for as long as necessary to achieve the purposes described in this Global Privacy Notice, or for as long as we have an ongoing legitimate business need to do so, such as to meet legal, regulatory, accounting, or reporting requirements, unless a longer retention period is required or permitted by law.

To determine the appropriate retention period, we consider factors such as the amount, nature, and sensitivity of the Personal Data, the potential risk of harm from unauthorized use or disclosure, the purposes for which we process it, whether those purposes can be achieved by other means, and applicable legal requirements. Please note that in many cases we are required to retain all or part of your Personal Data to comply with our legal obligations, resolve disputes, enforce our agreements, protect against fraudulent, deceptive, or illegal activity, or for other legitimate business purposes.

5) Online Collection Technologies

We, along with others that provide content, advertising, or other functionality on our Sites and digital properties, may use Collection Technologies to automatically gather information when you use our Services. Our use of these technologies generally falls into the categories described below. These are the primary ways of classifying Collection Technologies, but some technologies may not fit perfectly into a single category or may fall within more than one category.

a) Strictly Necessary Technologies These technologies are essential for providing our Services. They enable core functionality such as allowing you to navigate our Sites and access secure areas, use applications, and utilize features you have requested. They also support tools we use to detect irregular website behavior, prevent fraudulent activity, enhance security, and ensure the proper functioning of our Sites. Because they are necessary for the website to operate, they cannot be turned off in our systems.

b) Performance Technologies. These technologies help us understand how our Sites and Services are used so we can measure and improve performance. They allow us to compile statistics about visits and traffic sources, see which pages are most and least popular, and understand how visitors move around the Sites. We use tools such as Google Analytics in support of these research and analytics efforts. c) Functional Technologies. These technologies enable us to provide enhanced functionality and a more personalized experience. For example, they may help us recognize you when you return to our Sites or remember your settings and preferences (such as language or region). If you choose to disable these technologies, some or all of these enhanced features may not function properly.

d) Advertising / Targeting Technologies. These technologies are used to deliver content and communications that are more relevant to your interests. They may help us or our marketing and advertising partners:

  • tailor emails and other marketing communications;
  • measure the effectiveness of our outreach and campaigns;
  • understand your engagement with our publications, events, or online content; and
  • recognize you and your interests over time, including by tracking your interactions across our Sites and other websites or online services you may visit.

e) Social Media Technologies. These technologies are provided by various social media services that we have integrated into the Sites. They can track your browser across different websites, which may influence the content and advertising you see elsewhere online. If you do not allow these technologies, some social sharing features may not be available or may not function properly.

6) Your Privacy Choices

The privacy choices you have about your Personal Data are determined by your specific circumstances, the context, and applicable law, and are described below.

a) Managing Communication Preferences. If you no longer wish to receive marketing communications from us, please Contact Us at any time. Our digital marketing communications may provide unsubscribe or opt out mechanisms. Please note that if you opt out of marketing communications, we may still contact you with non-promotional communications, such as those about ongoing business relations or administrative messages.

b) Opt-Out Preference Signals. You may opt out of our use of certain Collection Technologies by broadcasting an Opt-Out Preference Signal, such as the Global Privacy Control (“GPC“) on browsers and browser extensions that support such a signal. To download and use a browser supporting the GPC browser signal, please visit: https://globalprivacycontrol.org/orgs. If you choose to use GPC, you must enable the signal separately in each supported browser or browser extension you use. Please note that using a GPC signal will not opt you out of our use of technologies that are necessary to operate our Sites.

Some internet browsers incorporate a “Do Not Track” feature that signals to websites you visit that you do not want to have your online activity tracked. Given that there is not a uniform way that browsers communicate the “Do Not Track” signal, our Sites do not currently interpret, respond to or alter its practices when they receive “Do Not Track” signals.

c) Managing Cookie and Other Collection Technologies Preferences. When you first visit one of our Sites, you will see a banner that lets you choose whether to accept or reject our use of Collection Technologies, except for those labeled “Strictly Necessary,” which are required to operate the Sites. You can set your preferences when you first see the banner. If you want to change your preferences later, you can do so at any time by revisiting our Cookie Preference Center (by clicking the cookie icon in the footer of our Sites). Because your preferences are stored using cookies or similar identifiers: (1) your opt-out choices apply only to the specific browser and device you use when you make them; and (2) if you access our Sites from a different computer, mobile device, or browser, you will need to renew your cookie management choices on that browser or device.

d) Browser Controls. You may also stop or restrict the placement of certain Collection Technologies in your browser or remove them by adjusting your preferences as your browser permits. These tools are generally available in the help section of browsers. You can also use the quick links, based on the browser type that you are using Internet Explorer, Google Chrome, Firefox, and Safari.

e) Mobile Device Controls. You may opt-out of personalized advertisements on some mobile applications by following the instructions for Android, iOS, and others. Please note that cookie-based opt-outs may not stop all mobile tracking, such as tracking done on mobile applications.

f) Ad Industry Opt-outs. The online advertising industry also provides websites from which you may opt out of receiving targeted ads from companies that participate in self-regulatory programs. You can access these and learn more about targeted advertising and consumer choice and privacy by visiting the Network Advertising Initiative, the Digital Advertising Alliance, and the European Digital Advertising Alliance. Please note you must separately opt out in each browser and on each device.

g) Text Message Communications. We may use text messaging (SMS) to communicate with you about our Services. To provide these communications, we process Personal Data such as your mobile phone number, the content of the messages, and related technical details (for example, the date, time, and delivery status of messages). We use this information only to provide, manage, and secure our communications with you and to provide our Services, in accordance with applicable law.

You can opt out of non‑essential text messages at any time by following the instructions in the message (for example, replying “STOP”). We may still send you messages that are necessary for security, authentication, or other service‑related purposes, where permitted by law.

7) Your Privacy Rights

In accordance with applicable law, you may have various privacy rights, as outlined below. If you would like to exercise any of these rights, please Contact Us at any time or follow the instructions outlined below. We will process such requests in accordance with applicable law and will not discriminate or retaliate against you for the exercise of any privacy rights granted to you.  Please note that these rights are not absolute, and in certain cases, we may decline your request, as permitted by law. 

a) Request to Know/Access. You may have the right to request confirmation of whether we are processing or have processed your Personal Data. In addition, you may be able to request disclosure of the Personal Data we have collected about you, including:

  • the categories of Personal Data we collect;
  • the categories of sources from which we collect Personal Data;
  • the purposes for which we collect, sell, or share Personal Data;
  • the categories of third parties, or a list of specific third parties, to whom we disclose your Personal Data; and
  • a copy of the specific Personal Data we maintain about you, provided to you in a portable and readily usable format.

b) Request to Correct. You may have the right to request that we correct Personal Data we maintain about you where it is inaccurate or incomplete.

c) Request to Delete. You may have a right to request that we delete the Personal Data that we may maintain about you.

d) Request to Opt Out of Sale or Sharing/Targeted Advertising.

  • Right to Opt Out. As further explained in our Notice of Right to Opt-Out of Sale/Sharing, we use Collection Technologies to automatically collect Personal Data when you visit, use, or interact with our Sites and online Services. Under certain applicable privacy laws, our use of these Collection Technologies on the Sites may be considered a “sale” or “sharing” of Personal Data, or the processing of Personal Data for “targeted advertising.” Depending on where you live, you may have the right to opt out of these activities.
  • How to Opt Out. To opt out of the selling, sharing, or use of your Personal Data for targeted advertising, you can (1) adjust your cookie preferences as explained in Section 6(c) (Managing Cookie and Other Collection Technologies Preferences) or (2) send an opt-out preference signal (such as the Global Privacy Control). For additional instructions on how to send an opt-out preference signal, please refer to Section 6(b) (Opt-Out Preference Signals). You can also follow the instructions outlined in our Notice of Right to Opt-Out of Sale/Sharing.
  • Additional Disclosures Relating to Selling/Sharing/Targeted Advertising Practices. We may sell, share, or use for targeted advertising the following categories of Personal Data: (i) Identifiers, (ii) Device Information, (iii) Internet or Other Electronic Network Activity Information, and (iv) Geolocation Information. We may sell or share these categories of Personal Data with the following recipients: our marketing and advertising partners and social networks. We do this to help us provide, market, and advertise our Services. For more information about these third parties, please see Section 3(a) (Disclosures to Provide Our Services) above. For more information about how we use Personal Data, including for marketing and advertising, please see Section 2 (How We May Use Data) above. Please note that apart from our use of Collection Technologies on our Sites and online Services, we do not ‘sell’ or ‘share’ Personal Data or process Personal Data for “targeted advertising,” as those terms are defined under applicable privacy laws. 

e) Request to Limit/Sensitive Personal Data. We do not process “sensitive personal information” or “sensitive personal data,” as those terms are defined by applicable privacy laws, to profile or infer characteristics about you. We use and disclose sensitive personal information/sensitive personal data only for purposes allowed under applicable privacy laws, such as providing our Services, securing our systems and premises, preventing fraud or illegal activity, and complying with legal, regulatory, and professional obligations. Because we use sensitive personal information or sensitive personal data only for these permitted purposes, we do not offer a separate right to limit the use or disclosure of sensitive personal information.

f) Object to Processing of Your Personal Data. You have the right to object when we process your Personal Data in the following situations: (i) you can object if we use your Personal Data for direct marketing where we rely on our “legitimate interests” as the legal basis; (ii) you can ask us to limit (or stop) our processing of your sensitive Personal Data for certain non-essential purposes, or in situations where we would otherwise need your consent; and (iii) you can object to profiling that is used to make decisions about you that have legal or similarly significant effects on you. However, we do not currently engage in this type of profiling and how we use sensitive Personal data is limited to what is described directly above in Section 7(e).

g) Withdraw your Consent to our processing of your Personal Data. Where our processing is based on your consent or subject to your objection, please note that your withdrawal will only take effect for future processing and will not affect the lawfulness of processing before the withdrawal..

h) Appeal. You may have the right to appeal our response to your request. To exercise your right to appeal, you can submit an appeal request using the same method used to submit your original request, including by Contacting Us. You may also contact the attorney general or other authority specified in the applicable privacy laws in the state or jurisdiction where you reside.

i) Lodge a Complaint. While we are always willing and eager to listen and respond to your concerns about this Global Privacy Notice or our data practices, at any time you have the right to lodge a complaint with the data protection authority or other regulatory body in charge of enforcing data protection laws in your jurisdiction.

Once you submit a request, we will verify your identity to help protect your privacy. We do this by matching the information you provide in your request (for example, your name and email address) with information we already have. Depending on the type of request, we will try to match two or three data points. If we cannot verify your identity with the information you first provide, we may ask you for additional information.

You may use an authorized agent to submit a request on your behalf, where allowed by law. If you do, we may require (1) proof that the agent is authorized to act for you (for example, a signed authorization or power of attorney), and (2) enough information to verify your identity directly, using the process described above. In some cases, we may also ask you to confirm directly that you authorized the agent to act for you.

8) Security Practices

We have implemented certain administrative, physical, and technical security measures to help protect against loss, misuse, or alteration of your Personal Data. While we use reasonable security procedures to protect your Personal Data, no method of transmission over the Internet is 100 percent secure. As a result, we cannot guarantee the absolute security of your Personal Data. To the fullest extent permitted by applicable law, we do not accept liability for unauthorized access, use, disclosure, or loss of Personal Data.

9) International Data Transfers

We may transfer, process, and store all information collected via or by Troutman Pepper Locke anywhere in the world, including, but not limited to, the United States. To the extent personal data is transferred from the United Kingdom (“UK”) or the European Union (“EU”) to the United States or other jurisdictions that require valid safeguards to be in place, and unless an exemption applies, Troutman Pepper Locke will adopt sufficient legal safeguards (such as standard contractual clauses) and will conduct relevant transfer impact assessments where applicable. 10) Children

Our Services are intended for and directed exclusively to adults. We do not knowingly collect Personal Data directly from individuals who are under the age of majority in their respective jurisdictions. If we become aware that a “child,” as defined in by the laws of their applicable jurisdiction, has provided us with Personal Data, we will delete the information from our records unless we have a legal obligation to keep it.

We also do not have actual knowledge that we ‘sell’ or ‘share’ Personal Data, or process Personal Data for ‘targeted advertising,’ with respect to individuals under 16 years of age.

11) Links to Other Websites and Services

Our Services may include links that take you to other companies’ websites or apps, and other companies’ websites or apps may include links that take you to our Services. These third-party services are not controlled by us. We encourage you to read the privacy policies of each website and application with which you interact. We do not endorse, screen, or approve, and are not responsible for, the privacy practices or content of those other websites or applications. If you choose to provide Personal Data to third‑party websites or applications, you do so at your own risk.

12) Changes to this Global Privacy Notice

We may update this Global Privacy Notice periodically, noting the date of revision. If we make any material changes in the way we collect, use, and/or disclose Personal Data, we will notify you in accordance with applicable law.

Unless otherwise stated at the time of posting, changes to our Global Privacy Notice take effect when we post the updated version. By continuing to use our Sites and Services after we post an updated Global Privacy Notice, you agree to the revised terms. If you do not agree with the Global Privacy Notice, you must stop using our Sites and Services.

14) Supplemental Disclosures

United Kingdom and European Union.  

The data controller is Troutman Pepper Locke LLP or in respect of Services provided by, involving, or data collected by or provided to Troutman Pepper Locke (UK) LLP, it is a joint data controller. If you reside in the UK and wish to lodge a complaint about our privacy practices, you may contact the Information Commissioner’s Office. If you are located in the EU, you may lodge a complaint with your national supervisory authority.

We do not use automated decision-making technology.

The table below contains a list of the legal bases on which we rely when processing Personal Data that is subject to applicable data protection laws in Europe, including the EU General Data Protection Regulation (the “EU GDPR”) and the EU GDPR as it forms part of retained EU law in the United Kingdom, (the “UK GDPR”). For our workers and applicants who reside in the UK and the EU, please refer to our Worker and Applicant Global Privacy Notice for additional information. Please also note that if your Personal Data is subject to the EU GDPR or UK GDPR, you may receive a copy of the safeguards we use to protect your personal data when it is transferred internationally on request.
