• Assisted in the representation of Enterprise Products Partners L.P. in its definitive agreement to acquire Piñon Midstream, LLC, a portfolio company of Black Bay Energy Capital, in a debt-free transaction for $950 million in cash consideration.
• Assisted in the representation of Patra, a provider of technology-enabled services for the insurance industry, in its $146 million growth investment as part of a recapitalization from FTV Capital, a sector-focused growth equity firm.
• Assisted in representing Helix Energy Solutions Group in its acquisition of 100% of the equity interests of the Alliance group of companies for $120 million cash at closing, plus post-closing earnout potential.
• Assisted in the representation of Pelican Energy Partners Base Zero LP, a private equity fund that invests in nuclear energy services, in its acquisition of Electrical Builders, LLC, a provider of electrical and welding services to utilities, power plants, industrial, miner, and data center customers and manufacturers.
• Assisted in representing Terra-Ace Holdings, LLC, a portfolio company of OFS Energy Fund, in its sale of Ace Fluid Solutions, a leading product, stimulation chemical, and water services provider to the Permian Basin’s oilfield industry, to SNF, a global leader in water-soluble polymers.
• Assisted in representing Main Street Capital in several new and add-on portfolio debt and equity investments in a variety of industries.
• Assisted in representing White Deer Energy in several asset purchases, investments, and other strategic transactions across several industries.
