DeLaina represents banks and borrowers in the structuring, negotiation, and documentation of secured and unsecured transactions. She advises on acquisition financings, syndicated facilities, participated loans, mezzanine financings, subordinated debt, ABL, real estate financings, construction loans, working capital lines of credit, multistate collateral lending, loan restructuring and workouts, and other traditional commercial financings.

DeLaina serves as bond counsel, bank counsel, trustee’s counsel, issuer’s counsel, and borrower’s counsel in taxable and tax-exempt transactions for nonprofit organizations and private entities. Her practice focuses on the issuance, direct purchases, and private placements of securities. This includes tax-exempt and tax-advantaged bonds, notes, and other obligations issued by municipal and other governmental entities secured by real estate, revenues, deposit accounts, and other UCC collateral, as well as obligations guaranteed by the Permanent School Fund.

DeLaina also represents privately held and publicly traded corporate clients. She counsels them on entity creation, drafts organizational documents, negotiates non-disclosure and confidentiality agreements, performs due diligence relating to mergers and acquisitions, including stock and asset acquisitions, negotiates purchase and sale agreements, and performs other general corporate work.
