Emily works closely with public and private companies and individuals on a wide range of executive compensation matters. She is well-versed in the design and drafting of stock- and cash-based incentive compensation plans (and related award agreements), employee stock purchase plans, "top hat" plans and deferred compensation arrangements, as well as employment, retention, change in control, severance, and separation agreements for employees and C-suite executives.
As a former in-house attorney at a Fortune 50 company, Emily has a wealth of experience and unique understanding of public company corporate governance, administration, and disclosure obligations related to executive and director compensation arrangements (Forms 8-K, 10-K, DEF 14A (proxy statement), SI-PT, and Section 16). She supports her public company clients each year with their proxy statements and proposals, including with respect to proxy advisors and institutional investors.
Additionally, Emily supports clients on compensation and benefits aspects of key transactions, including mergers, acquisitions, and initial public offerings. She negotiates transaction agreements, prepares compensation-related disclosures, identifies and corrects compensation and benefits risks, and implements pre- and post-closing executive compensation arrangements.
As a passionate advocate for a variety of causes, Emily maintains an active pro bono practice and has represented clients in wage and hour, estate planning, criminal expunction, and housing matters. She was also part of the leadership team for the North Carolina Homeless Youth Handbook, a broad-scale pro bono project, which created a comprehensive guide for rights and resources available to vulnerable youth in North Carolina.
