Fred applies his broad range of technical, industry, and legal experience to counsel investor-owned utilities, independent power producers and transmission companies, energy marketers, large industrial consumers, financial institutions, natural gas pipelines, shippers, and other service providers, on matters involving project development, navigating complex transactions, and the full range of regulatory matters before FERC, the North American Electric Reliability Corporation, and state regulators.

He has extensive experience with RTO/ISO market rules and issues under the Federal Power Act, Natural Gas Act, Public Utility Regulatory Policies Act, Public Utility Holding Company Act, and Natural Gas Policy Act.

Prior to joining the firm, Fred served as a senior associate at an international law firm.

  • Represented a North American energy infrastructure company, in its all-cash acquisition of an electric utility company.
  • Represented an independent power producer, with respect to federal and state regulatory approval requirements, in its sale to a leading investment company and a consortium of investors.
  • Represented a large Canadian publicly owned distribution utility, with respect to federal and state regulatory approvals and other issues, in its acquisition of a leading electricity transmission company.
  • Represented a financial services provider, as administrative agent, sole lead arranger, and sole bookrunner in connection with a senior secured exit financing facility for a power plant.
  • Represented a bank in the acquisition of a natural gas-fired, combined-cycle electric-generating facility from an owner and operator of a natural gas-fired power plant.
  • Advised corporate offtakers in negotiation of both virtual and physical power purchase agreements for wind and solar resources in U.S. energy markets.
  • Advised generators and energy marketers on obtaining market-based rate authority and ongoing compliance obligations flowing therefrom.
  • Advised various acquiring entities or lenders to acquiring entities on conducting due diligence related to the acquisition of generation and transmission assets.
  • Advised registered entities on North American Electric Reliability compliance obligations, including self-reports and audit preparation, and represented in proceedings involving alleged violations.
  • Represented both transmission and generation owners in proceedings establishing the annual transmission revenue requirement for reactive supply and voltage control service.
