Grace is an associate in the firm’s Corporate practice, where she counsels public and private companies on mergers and acquisitions, securities transactions, corporate governance, and organizational matters. Her mergers and acquisitions practice includes representing private equity funds and their portfolio companies, as well as strategic buyers and sellers, in public and private mergers and acquisitions across several sectors, including technology, financial services, manufacturing, and business services. Grace has experience advising on a variety of transaction structures, including platform investments, add-on acquisitions, carve-outs, and restructurings.
Grace also represents issuers and investment banks in capital markets and cross-border transactions, including underwritten and best-efforts offerings, at-the-market programs, registered direct offerings, and private investments in public equity, across industries including life sciences, mining, manufacturing, and technology. In addition, Grace regularly assists issuers with U.S. securities law compliance and periodic reporting obligations with the SEC, including annual and quarterly reports, current reports, and proxy statements, as well as related corporate governance matters.
Grace maintains an active pro bono practice, through which she has assisted nonprofit organizations and a woman-owned small business with various corporate governance and operational matters.
