Jeff assists private equity firms and their portfolio companies, strategic purchasers, sellers, and individual founders with mergers and acquisitions, leveraged buyouts, debt and equity offerings, and minority investments. He also acts as outside general counsel for portfolio companies of private equity clients, which includes assisting with corporate governance, incentive equity and employment matters, commercial contracting, and various other matters.

  • Assisted in the representation of a portfolio company of Nautic Partners in its acquisition of a provider of comprehensive cybersecurity solutions.
  • Assisted in the representation of Signers National, a New York City-based holding company for a tech-enabled insurance distribution platform, in a strategic minority investment from CIVC Partners, a Chicago-based business services investment firm.
  • Assisted in the representation of Prospect Partners in the investment in affiliated companies Fontanesi & Kann, an HVAC equipment and servicing company, and Architectural Building Components, an architectural material supplier.
  • Assisted in the representation of a leadership development and career management consulting firm, in its acquisition of ATN Associates, LLC (dba Center for Executive Coaching), a provider of executive coaching, leadership development, and certification services.
  • Assisted in advising Millstone Medical Outsourcing and its majority owner Schooner Capital in the sale of Millstone, a comprehensive solutions provider of quality-critical services to the medical device and pharmaceutical industries, to Arlington Capital Partners.
  • Assisted in advising Softworld, Inc., a leading technology staffing and workforce solutions firm, in its sale to Kelly Services, Inc. (Nasdaq: KELYA, KELYB).
  • Assisted in advising HES Facilities Services, LLC, a portfolio company of Nautic Partners, in its acquisition of WFF Facility Services and Clean-Tech Company.
  • Assisted in advising ABRY Partners LLC in connection with a growth equity investment in Cayman Islands-based Asignet Holdings, Ltd., in exchange for equity interest therein.
