Jina advises public and private companies and financial sponsors on all aspects of employment, benefits, and compensation matters. She negotiates and drafts compensation, benefits, and employment agreements, and assists clients on the executive compensation and benefits issues arising in the context of mergers, acquisitions, spin-offs, initial public offerings, and other corporate transactions.
Jina works closely with clients on a range of employment and corporate governance matters, including updating employment and separation agreements, succession planning, amending cash and equity compensation plans, and compensation benchmarks. She regularly ensures tax compliance for private equity sponsors, and has advised public clients on matters such as seeking shareholder approval for newly issued benefit plans, compensation disclosures, ESG matters, responses to shareholder proposals, and updating disclosure and equity plans to meet guidelines set by proxy advisors and institutional investors.
As a passionate advocate for a variety of causes, Jina also maintains an active pro bono practice. She participated in the development of materials and training of attorneys and nonprofits related to the Paycheck Protection Program (PPP) and private loan and grant programs for individuals and businesses impacted by COVID-19. Jina also drafted a Supreme Court amicus brief in a case involving discrimination against prospective same-sex foster parents, and advocated for greater access to educational and therapeutic resources for students with disabilities.
Prior to joining the firm, Jina was an associate at two global law firms.
