Kevin represents buyers and sellers in various merger and acquisition transactions, public and private, strategic, and financial. He also advises private equity and mezzanine debt funds in their investment transactions, as well as target companies and management groups in negotiating acquisition and financing transactions with private equity investors and lenders.

In addition, Kevin represents issuers, underwriters, and investors in public offerings and private placements of equity and debt securities, lenders, and borrowers in senior, mezzanine, and subordinated debt financing transactions. He also represents various clients in connection with general commercial and/or contractual matters, including business structuring and planning and joint venture arrangements.

Oilfield Services and General Industrial

  • Advised S.T. Cotter Turbine Services, Inc., Axis Mechanical Group, Inc., and Axis Industrial Repair Services, LLC, in a sale transaction to Fox Innovation & Technologies, a provider of technological solutions for compressors and rotating equipment.
  • Represented Terra-Ace Holdings, LLC, a portfolio company of OFS Energy Fund, in its sale of Ace Fluid Solutions, to SNF.
  • Led USA Industries in its acquisition by Sky Island Capital.
  • Counseled Oliver Equipment Company in its sale to Sunbelt Supply by affiliate FloWorks International.
  • Advised Flow-Zone in its acquisition by The Reynolds Company, a wholly owned subsidiary of McNaughton-McKay Electric Company.
  • Represented Sterling Partners and its portfolio company, Desert NDT LLC, in the $260 million sale of Desert NDT to ShawCor Ltd.
  • Counseled a privately held distributor of oilfield tools and products in a $500 million sale to an international oilfield product and service supplier.
  • Supported a publicly traded oilfield service company in a joint venture transaction to develop and commercialize water treatment and disposal technologies for produced water in drilling operations.

  • Represented Wildfire Energy in several transactions, including:
  • Acquisition of approximately 237,000 net acres and interests in 465 wells in the East Texas Eagle Ford from Apache Corporation and subsidiaries.
  • $1.425 billion agreement to acquire Chesapeake Energy Corporation’s Brazos Valley region of its Eagle Ford assets.
  • Acquisition of approximately 45,000 net acres and 200 operated wells in the East Texas Eagle Ford from MD America Energy, LLC.
  • Acquisition of Hawkwood Energy.

Midstream

  • Represented Kinder Morgan in its $1.815 billion agreement to acquire NextEra Energy Partners’ South Texas assets, STX Midstream.
  • Advised Trinity Gas Storage, LLC, in its $189 million funding for the groundbreaking of its natural gas storage facility in East Texas.
  • Supported Crestwood Equity Partners LP in its $335 million divestiture of Tres Palacios Gas Storage with Brookfield Infrastructure to Enbridge Inc.
  • Represented NJR Midstream, a business of New Jersey Resources, in the acquisition of Leaf River Energy Center, LLC, from Macquarie Infrastructure Partners for $367.5 million.
  • Represented Martin Midstream Partners L.P. in several transactions, including:
  • $22.4 million sale of certain assets used in connection with the Mega Lubricants shore-based terminals business to John W. Stone Oil Distributor, LLC.
  • $212 million sale of its membership interests in Arcadia Gas Storage, LLC, Cadeville Gas Storage LLC, Monroe Gas Storage, LLC, and Perryville Gas Storage LLC to Hartree Cardinal Gas, LLC, a subsidiary of Hartree Bulk Storage LLC.
  • $107 million divestiture of certain terminalling assets in Corpus Christi, Texas, to NuStar Logistics, L.P.
  • $135 million acquisition of a 20% interest in West Texas LPG Pipeline L.P. from Atlas Pipeline Partners.
  • $275 million sale of East Texas and Northwest Louisiana gas gathering and processing assets to CenterPoint Energy Inc.

  • Represented Amp Americas in the sale of its 20 ampCNG fueling stations to American Natural Gas LLC for $41 million.
  • Represented a leading renewable transportation fuel company in the sale of assets to an affiliate of a private equity fund focused on sustainable infrastructure.
  • Supported private equity investors in $100 million Series A financing of a target company specializing in the manufacturing and marketing of biodiesel fuel and biodiesel plant construction.
  • Counseled an international private equity fund in the $165 million acquisition of district energy facilities in North America.
