Lauren assists corporate clients with mergers and acquisitions, divestitures, corporate restructurings, joint ventures, and private equity transactions. She represents clients in a variety of industries, including energy, technology, food and beverage, and retail.

Lauren regularly advises on corporate governance and other general corporate and commercial matters. Her energy practice focuses on energy-related acquisitions, divestitures, and joint ventures across midstream, upstream, and retail segments.

• Represented Enterprise Products Operating, LLC, in its $2.15 billion acquisition of EFS Midstream, the Eagle Ford Shale midstream business of Pioneer Natural Resources Company and Reliance Holding USA, Inc.
• Represented Kinder Morgan Inc. in connection with its acquisition and development program focused on terminal storage and related assets, including transactions with BP, Motiva Enterprises, and Vopak with an aggregate value in excess of $600 million.
• Represented Crestwood Equity Partners LP, a publicly traded master limited partnership that owns and operates midstream assets, in the divestiture of its Marcellus natural gas gathering and compression assets to Antero Midstream Corporation for $205 million in cash.
• Represented White Deer Energy LP in its $52 million investment in O-Tex Pumping LLC, the largest independent provider of downhole cementing services to the Texas and Oklahoma oil industry.
• Represented O-Tex Holdings, Inc., and its operating subsidiaries, including O-Tex Pumping, L.L.C., in its sale to C&J Energy Services, Inc.
• Represented Zenith Energy in its divestiture of refined product terminals to Sunoco LP and BWC Terminals LLC.
• Represented Silver Eagle Distributors, L.P., the nation’s largest independent distributor of Anheuser-Busch beverages, in the sale of Silver Eagle’s Greater Houston-area business to a subsidiary of Redwood Capital Investments, LLC.
• Represented Terra-Ace Holdings, LLC, a portfolio company of OFS Energy Fund, in its sale of Ace Fluid Solutions, a leading product, stimulation chemical, and water services provider to the Permian Basin’s oilfield industry, to SNF, a global leader in water-soluble polymers.
• Represented Refuel Operating Company, LLC, a South Carolina-based retail and wholesale fuel distribution and convenience store business, in its acquisition of the assets of Eagles Enterprise, LLC, a North Carolina-based convenience store chain, and its affiliates.
• Represented Refuel Operating Company, LLC, in its acquisition of the assets of Premier Stores, Inc., a Greensboro, North Carolina-based convenience store chain operating under the GreatStops brand.
• Represented CAI Software, LLC, in multiple acquisitions and divestitures in the software industry.
• Represented Symrise, Inc., in multiple acquisitions, divestitures, and investments in the food, beverage, and scent industries.
• Represented Hunting PLC in multiple acquisitions, divestitures, and investments in the oil and gas industry.
