Michael represented businesses in a range of commercial transactions. He frequently served as general counsel, and provided corporate and commercial law advice to privately owned companies, for which he handled mergers, acquisitions, stock transactions, asset sales, joint ventures, and senior, subordinated, and mezzanine financings, as well as capital markets transactions. Michael also represented institutions and companies in negotiating and closing tax-free bond financings, and franchisors in multistate and federal matters related to the sale and offering of franchise businesses nationwide.
