Overview

Before retiring, Michael had 40 years of experience in corporate and securities matters and merger and acquisition transactions. He represented numerous public companies listed on all major national securities exchanges in domestic and international securities law related matters including registration statements, private placements of securities, mergers and tender offers, annual and special meetings of stockholders, reverse splits, Securities Exchange Act compliance and NASDAQ hearings and Sarbanes-Oxley compliance. Michael also represented public and private companies in acquisitions and dispositions of businesses and a broad spectrum of corporate and business matters including advising boards of directors and committees thereof, employment and consulting agreements, license agreements, manufacturing and supply contracts, stockholder, partnership and limited liability company agreements, and stock option plans.
