Nicole handles corporate governance and transactional matters, including securities compliance, mergers and acquisitions, private equity, and venture capital. She assists clients with a variety of transactional needs, such as leveraged buyouts, debt and equity offerings, minority investments, and general corporate counseling. Nicole represents private companies, public companies, private equity firms, and their portfolio companies.

  • Represented Innovative Driven, a provider of end-to-end solutions across the information lifecycle, including information governance, eDiscovery, and managed review services, in its acquisition of DLS Discovery, a Delaware-based litigation support provider with a focus on the unique needs of the Delaware Court of Chancery.
  • Assisted in representing Nabsys 2.0, a developer and manufacturer of instrumentation and consumables for the analysis of genomic structural variation, in the acquisition of a majority interest in Nabsys by Hitachi High-Tech Corporation.
  • Assisted in advising The Halifax Group in the sale of its majority stake in Southern Exteriors, a full-service installer of exterior building solutions tailored primarily for single-family homebuilders in the southeastern U.S., to Monomoy Capital Partners.
  • Assisted in advising IT Solutions Consulting, LLC, a leading managed service provider serving commercial firms, professional institutions, and nonprofit organizations, in its acquisition of The Network Pro, a West Coast-based IT and security service provider, and in its acquisition of Spade Technology, an award-winning provider of IT services for the greater Boston area.
  • Assisted in representing Archtop Fiber, a provider of multi-gig, 100%-fiber internet and phone service to residential and business customers, in its acquisition of Hancock Telephone Company, and its acquisition of GTel.
  • Assisted in the representation of Nutex Health Inc. in the preparation and filing of a $315 million resale registration statement with the U.S. Securities and Exchange Commission.
  • Assisted in the representation of IPG Photonics Corporation, a developer and manufacturer of high-performance fiber lasers and amplifiers, in the sale of its telecom transmission product lines to Lumentum.
  • Assisted in the representation of JM Family Enterprises, Inc., in its acquisition of Future Title & Escrow.
  • Led the representation of MindImmune Therapeutics, Inc., in the issuance and sale of $12.4 million Series A convertible preferred stock.
  • Led the representation of Nabsys in an investment of $25 million by Hitachi High-Tech Corporation through the issuance and sale of the company’s Series B and B-1 Units.
