    Solomon counsels clients with respect to an array of strategic business transactions, including mergers and acquisitions, joint ventures, startup and venture capital financings, corporate carve-outs, financing transactions, and restructurings and reorganizations. During his more than 20 years of practicing, Solomon has managed a range of complex transactions for clients in a variety of industries, including human and pet foods, chemicals, cosmetics, life sciences, health care, equipment, and financial services industries. He also counsels clients with respect to strategic corporate, commercial agreements, and corporate governance matters.

    In addition, he counsels clients on raising capital through private and public securities offerings and businesses in connection with outsourcing, supply, purchasing and manufacturing, and other commercial arrangements.

    Solomon is also a member of the firm's Management Team and Policy Committee. Before attending law school, Solomon held a variety of business positions with IBM Corporation.

    Representative Matters

    • Represented a leading publicly traded food company in its acquisition of all the outstanding equity interest of a producer of organic food products, including soup and broth.
    • Advised a U.S. subsidiary of a European-based chemical company in its acquisition of the assets of the flooring adhesives business of the U.S. based manufacturer of flooring related products.
    • Counsel to a publicly traded operator of various business in the merger of its cloud-based government communications software solutions business with software services business controlled by a leading private equity firm.
    • Represented a leading publicly traded food company in its disposition of substantially all of the assets of its national brand tuna business to a Korean conglomerate.
    • Advised a manufacturer of food products in its asset disposition of selected food production lines which had to be separated from other businesses retained by the seller.
    • Represented a manufacturer of pet food products as a joint venture partner in a manufacturing joint venture with a large U.S. grower of produce and subsequent long-term purchase by the pet food manufacturer from the joint venture entity of a critical pet food raw material.
    • Counsel to a leading food products company in the divestiture of its market-leading private label infant feeding and soup lines.
    • Represented a leading publicly traded life sciences company in its co-development and licensing arrangement with an early stage medical technology company involving the development of water purification technologies relating to the treatment of renal disease.
    • Represented a leading publicly traded life sciences company in its acquisition of the assets of the generic drug business of a competitive pharmaceutical company and subsequent disposition of certain of those assets in compliance with FTC requirements.
    • Advised a publicly traded life sciences company in its disposition of the assets of its food science group business to a European pharmaceutical company.
    • Advised a life sciences company in its disposition of the assets of its fermentation-produced chymosin business to a manufacturer of pharmaceutical products.
    • A software company in its merger with and into a Nasdaq-listed developer of software supporting the medical community.
    • Counsel to a manufacturer of food products as a joint venture partner in a distribution joint venture with a non-U.S. based manufacturer of branded food products in connection with the distribution of certain food products outside of the U.S.
    • Represented a manufacturer of food products in its minority investment into one of its critical suppliers of food raw materials during the restructuring of the supplier.
    • Represented a multinational publicly traded insurance brokerage company in the disposition of one of its wholesale brokerage businesses to a portfolio company of Summitt Partners.
    • Counsel to the U.S. subsidiary of a European based chemical company in its disposition of its alkylamine business to a Belgian chemical company.
    • Represented a pharmaceutical group purchasing organization in its merger with a newly formed company controlled by a New York-based private equity sponsor.
    • Represented a leading publicly traded life sciences company in its acquisition of the assets of the generic drug business of a competitive pharmaceutical company and subsequent disposition of certain of those assets in compliance with FTC requirements.
    • Advised a venture capital company in its equity financing of a mid-stage application software company.
    • Counsel to a private equity firm in its equity financing of a mid-stage application software company.
    • Represented a private equity firm in its disposition of its equity interest in a portfolio company in the business of designing and manufacturing custom dental prosthetics.
    • Advised a private equity firm in a leveraged recapitalization of a specialty equipment manufacturer portfolio company.
    • Represented a leading manufacturer of consumer products in the outsourcing of the production of certain food products.
    • Counsel to a leading life sciences company in its investment in an early stage medical technology company and its simultaneous funding of the development and subsequent marketing of water purification technologies related to the treatment of renal disease.
    • Represented a private equity company in its acquisition of an ambulance services company in the southeastern United States.
