Jeff counsels private equity funds, public and private companies and family offices in mergers and acquisitions and investment transactions, many of which are international in scope. With a thorough understanding of his clients’ businesses, objectives, and the competitive markets in which they compete, he helps them find creative and efficient paths to completing challenging transactions.

Jeff has extensive experience in the technology, media, telecommunications, and life sciences industries.

Jeff serves as managing partner of the firm’s Providence, RI office, as a key contact partner with the World Law Group, and also works with a team focused on building and strengthening the firm’s international law firm relationships.

  • Represented the affiliates of Trent Capital Partners in the acquisition of Microporous, a leading manufacturer of high-performance battery separators for lead-acid batteries, and the related debt and equity financing for the acquisition.
  • Advised Imugene Ltd., an Australian company listed on the Australian stock exchange (IMU:AUX), on a transaction valued up to $227 million from Precision BioSciences.
  • Advised Greenbacker Capital Management, LLC, through an affiliated fund, in its strategic investment in Swell Energy, a California-based residential energy storage developer and aggregator.
  • Represented Arcline Investment Management in various acquisitions, including its portfolio company Integrated Polymer Solutions in the acquisition of International Rubber Products, Inc.
  • Represented HPS Partners in various equity investments, including in Revolt Media.
  • Advised an investor group in multiple investment rounds in Ember Technologies, Inc.
  • Mandarinfish Holding Corp.in the acquisition of Professional Association of Diving Instructors (PADI) from Providence Equity Partners.
  • Represented Murosa Development S.a.r.L. and Columbia Ventures Corporation in the sale of all of the shares of Hibernia NGS Limited to GTT Communications, Inc., for gross proceeds in excess of $600 million, consisting of approximately $535 million in cash plus 3.3 million shares of common stock in GTT.
  • Advised THE SWITCH, North America’s leading video solutions service provider, in its acquisition of Pacific Television Center, Inc. (PacTV), for an undisclosed value and a concurrent recapitalization by True Wind Capital.
  • Advised Watson Holdings, LLC, in the sale of Watson Inc., a supplier of custom nutrient premixes and ingredients for the food industry, to Glanbia, Inc., a global food and ingredient supplier.
  • Represented private companies and their owners in sales to Accenture, Google, GTT Communications, Hewlett-Packard, Harbinger Group, NextWave, and Summit Partners, among others.
  • Advised an investor group, including Fenway Sports Group, in the acquisition of the Boston Red Sox Triple-A affiliate baseball team.
  • Represented ABRY Partners in various investments, including in the $2 billion three-way merger involving Sidera Networks, Berkshire.
