Valentina Rivera

Valentina represents public and private companies in a wide range of domestic and cross-border corporate and transactional matters, including mergers and acquisitions, corporate governance, recapitalizations, securities offerings, and organizational matters. She has experience across numerous industries, such as financial services, transportation, manufacturing, and pharmaceutical and life sciences.

Valentina’s mergers and acquisitions practice focuses on representing strategic buyers and sellers, as well as private equity funds and their portfolio companies in public and private M&A and other investment transactions, including carve-outs, restructurings, and reorganizations.

Valentina is also committed to pro bono work. She regularly counsels nonprofit organizations on corporate governance issues and volunteers with the Georgia Asylum and Immigration Network to translate for Spanish-speaking clients and assist them with completing and submitting their U-visa applications.

• Advised Payroc WorldAccess in its $440 million acquisition of the merchant services business, along with related payments software and technology solutions, of i3 Verticals, LLC (NASDAQ:IIIV).
• Advised an NYSE-listed retail jewelry company on multiple strategic acquisitions, including founder-owned businesses.
• Advised a NASDAQ-listed specialty finance company that provides credit and related financial services in its acquisition of a leading data- and tech-centric credit card platform utilized by bank partners to provide credit cards to near-prime consumers in the U.S.
• Advised a portfolio company of a leading private equity firm based in the Nordics in its add-on acquisition of a Florida-based in vitro diagnostic.
• Advised a leading provider of technology and payment processing solutions for the consumer debt settlement industry and specialty finance markets, in its majority equity investment by a private equity firm.
• Advised a client in its acquisition of a long-standing leader in environmentally responsible paint removal and surface preparation solutions.
