Representative Matters

Walter represents and counsels developers, investors, utilities, and contractors in all legal aspects of domestic and international fossil and renewable energy as well as industrial project development, construction, finance, and acquisitions and divestitures.

Walter advises clients in the structuring of project ownership, including JVs, consortium arrangements, and other bankruptcy remote entities. He also negotiates and drafts all agreements required for equity and debt project financing and construction.

Walter’s experience includes projects located in nearly all 50 states in the U.S and many other jurisdictions in North America, South America, Central America, Europe, and Central Asia.

  • Representing an owner/developer of a $1 billion, 450 MW gas-fired cogeneration project in Texas.
  • Representing an owner/developer of a $600 million chloralkaline manufacturing plant in Mississippi.
  • Ongoing representation of developers/owners in negotiating intrastate (Texas) natural gas storage services statements of conditions (SOCs) and related storage services and transportation agreements.
  • Represented a developer/owner with respect to module supply, BOP contracts, and related agreements in the construction of a 50 MW portfolio of merchant Texas PV solar projects in Texas.
  • Represented a developer/owner with respect to manure supply, offtake, and EPC agreements for an RNG project in Oregon.
  • Represented an acquirer of a portfolio of shovel-ready rooftop solar projects being installed in Boston public buildings.
  • Represented a leading U.S. renewables company (in-house secondment) in connection with PPAs, VPPAs, JDAs, and MIPAs in connection with solar and battery storage projects throughout the U.S.
