Advised banks on public and private offerings of common and preferred stock and senior and subordinated debt, including recapitalizations, at-the-market and registered direct offerings, and transactions involving warrants and other convertible securities.

Represented buyers and sellers in mergers and acquisitions involving whole banks, failed banks, branches, and bulk-asset transactions.

Advised clients with respect to safety and soundness and compliance issues, and negotiating and resolving matters with regulators, including with respect to entering into and complying with existing enforcement actions.

Advised officers and directors on corporate governance and liability issues.

Assisted banks with employee benefit and executive compensation issues.

Advised on third-party technology and outsourced services contracts, diversification into new lines of business, and other discrete legal issues such as S elections and going-private transactions.
