Excess + Surplus Lines

• Represent and act as representative for more than 25 international insurance carriers that maintain eligibility in the U.S. via inclusion on the NAIC Quarterly Listing of Alien Insurers and obtain listing on state specific surplus lines “eligibility lists,” also known as “white lists.”
• Act as lead M&A insurance counsel as well as insurance regulatory counsel on mergers and acquisitions involving surplus lines brokers, surplus lines carriers, and other insurance intermediaries in the surplus lines space.
• Lead formations of U.S. surplus lines insurers, surplus lines insurance brokerage firms, and surplus lines “managing agencies.”
• Provide general regulatory guidance in the surplus lines space to the insurance industry, including the review of insurance policy forms to evaluate regulatory compliance and determination of applicability of state-specific laws to the surplus lines market, including laws relating to advertising, cancellation and nonrenewal of insurance policies, service of suit clauses, TRIA-related issues, surplus lines “stamping” language, the “diligent effort” requirement, state filing requirements, among many other matters.
• Consult with clients on group insurance programs, including the allocation of premium and surplus lines premium taxes, formation and registration of risk purchasing groups, among other insurance distribution systems.
