Our attorneys handle all aspects of financing transactions, including intercreditor and subordination agreements, construction lending contracts, mortgage securitization issues, repurchase agreements, custody agreements, non-consolidation opinions, environmental issues, and tax credits. Additionally, we are skilled at identifying and solving the problems that may occur in various stages of land development, including land assemblage and title issues, entitlements and permitting, planning and design, off-site matters, bonding, and converting to construction financing or a sale.
When needed, our attorneys advise both lenders and borrowers across all aspects of restructuring and loan modification transactions. Our work includes complex loan modifications, pre-negotiation agreements, forbearance agreements, waivers and releases, receiverships, voluntary and involuntary bankruptcies, and the reorganization of real estate entities outside of bankruptcy, among other areas.
Our full-service offering also include advice on general corporate tax and transfer issues in connection with obtaining and divesting title to real estate.
