Within the span of one month, the firm acted as placement agent’s counsel in two separate offerings that together generated $10 million in gross proceeds.
The first transaction, an SEC-registered public offering of common stock and warrants, raised $5 million and closed on March 25. The team then completed a second $5 million follow-on transaction — a registered direct offering priced at the market under Nasdaq rules with a concurrent private investment in public equity — which closed on April 23 after being signed and priced with less than 24 hours’ notice, demonstrating the firm’s ability to execute capital markets deals on an accelerated timeline.
