Jamie represents domestic and foreign issuers, as well as investment banks and institutional investors, in a variety of capital markets transactions. Her experience spans a wide range of public and private securities offerings including IPOs, confidentially marketed public offerings, underwritten and best-efforts offerings, bought deals, at-the-market offerings, registered direct offerings, and private investment in public equity transactions. Jamie advises clients from a diverse set of industries, including life sciences, mining, and technology.

Jamie also advises domestic and foreign issuers with respect to the U.S. securities laws, reporting with the U.S. Securities and Exchange Commission, annual and special meetings of shareholders, and other corporate governance matters. In addition, Jamie advises U.S., Canadian, and other foreign issuers in connection with initial or cross-border listings on various national securities exchanges and on the continuous reporting and corporate governance requirements under such exchanges.

Mining

  • Represented an exploration and mine development company in a $20 million initial public offering.
  • Represented a gold royalty company in a $103.5 million bought deal financing.
  • Represented a uranium royalty company in a $54 million at-the-market offering.
  • Represented a mineral exploration and development company in uplisting to the Nasdaq Capital Market and a CAD$80 million public offering.
  • Represented a Latin American mining company and a North American energy company in uplistings to the Nasdaq Capital Market.

Life Sciences and Technology

  • Represented a robotics and AI technology company in a $12.1 million underwritten offering and $50 million at-the-market offering.
  • Represented a clinical stage biotechnology company in a $12 million registered direct offering, private placement and concurrent warrant amendment.
  • Represented a biopharmaceutical company in a $21 million CMPO and concurrent registered direct offering.
  • Represented a clinical stage company in $6 million best efforts public offering.
  • Represented a sales agent in $1 billion at-the-market offering and a placement agent in $19 million best efforts public offering with an automated solution company.
  • Represented a sales agent in $500 million at-the-market offering with a diversified holding company.

Mergers and Acquisitions and Restructurings

  • Represented an international shipping company in a spin-off of its wholly owned subsidiary.
  • Represented a petroleum gas shipping company in a $113 million self-tender offer.
  • Represented an entity in the sale of key business assets to another entity for a combined platform of more than $1 billion.
  • Represented a clinical-stage biopharmaceutical company in reverse merger with a privately-held, clinical-stage biopharmaceutical company.
