Brenden Dahrouge

Brenden represents financial institutions and investment funds serving as trustees, collateral agents, depositaries, and escrow agents in a broad range of secured and unsecured financings, including IPOs and follow-on offerings, Rule 144A/Reg S private placements, high-yield and investment grade debt, convertible notes, and liability management transactions, including tender and exchange offers and consent solicitations.

Brenden also advises banks serving as administrative agent, arranger, and lender on warehouse lending and structured credit facilities, and has experience representing clients acting as borrower, originator, and servicer in two tier, bankruptcy remote SPV structures.
