He focuses on structuring and negotiating technology-related transactions and aligning IP, data privacy, and commercial strategies with clients’ broader business and product objectives.

Brennan drafts and negotiates a wide range of technology and IP agreements, counsels clients on data privacy, technology, and IP issues, and guides clients on related matters in mergers and acquisitions.

• Tech Transactions: Draft, negotiate, and advise on commercial and operational technology agreements, including cloud and hosted services, outsourcing, professional services, and online terms and conditions.
• Licensing & Collaboration: Draft and negotiate IP, technology, and software licenses, as well as joint development and collaboration agreements; prepare product and service policies, including terms of use, warranty documentation, and product care policies.
• M&A Diligence: Lead IP, technology, and data privacy diligence and deal drafting for mergers and acquisitions; advise clients directly and support M&A transactions involving IP, technology, and data assets.
• IP Counseling: Counseled clients in all matters concerning intellectual property acquisition, licensing, validity, and noninfringement, including development of international patent strategies and IP-related processes and best practices.
• Patent Prosecution: Drafted, prosecuted, and managed scores of patent applications through allowance, collaborating with inventors, in-house counsel, and IP teams to identify, develop, and protect innovations.
• Litigation Support: Provided litigation and inter partes review (IPR) support, including drafting complaints and briefs, developing noninfringement and invalidity positions, and conducting patentability, freedom-to-operate, invalidity, and noninfringement assessments, as well as analyzing and responding to asserted IP infringement.
