Strategic Representations

• Represented Marsh McLennan (NYSE: MMC) in its acquisition of McGriff Insurance Services, an insurance broker that offers risk management and insurance solutions to clients in the United States, from an affiliate of TIH backed by private equity firms Stone Point Capital and CD&R, in an all-cash transaction valued at approximately $7.75 billion.
• Represented Marsh McLennan Agency, a part of MMC’s global family of businesses (MMA), in its acquisition of Maryland-based HMS Insurance Associates, Inc.
• Represented AMETEK, Inc. (NYSE: AME) in its acquisition of Paragon Medical, a provider of highly engineered medical components and instruments, from affiliates of private equity fund American Securities LLC in an all-cash transaction valued at approximately $1.9 billion.
• Represented AME in its acquisition of United Electronic Industries, a provider of data acquisition and control solutions for the aerospace, defense, energy, and semiconductor industries.
• Represented MMA in its acquisition of Philadelphia, PA-based Graham Company, a risk management consultancy and insurance and employee benefits broker.
• Represented Mercer, a global HR consulting firm and part of MMC’s global family of businesses, in its acquisition of Leapgen, a human resources technology advisory firm focused on digital strategy and workforce solutions.
• Represented Evoqua Water Technologies, an NYSE-listed industry leader in mission-critical water treatment solutions, in the divestiture of its carbon reactivation and slurry operations to DESOTEC, the Blackstone-backed European market leader for industrial mobile filtration solutions based on activated carbon technology.
• Represented the owners of a leading contract packaging and manufacturing company producing a multitude of products in Philadelphia in the sale of their company to a strategic acquirer.

Private Equity Representations

• Represented Littlejohn & Co. in its acquisition of United Comfort Group, a leading provider of HVAC and plumbing services to residential homeowners in the Mid-Atlantic and Southeastern U.S., from its existing private equity sponsor and management.
• Represented a leading middle market, Greenwich, CT-based private equity firm focused exclusively on investments in the health care industry, in its platform acquisition of a leading physician payment automation and software company based in Nashville, TN.

Portfolio Company Representations

• Represented The Stepping Stones Group, a portfolio company of Leonard Green and Five Arrows in numerous add-on acquisitions.
• Represented a portfolio company of a leading private equity firm based in the Nordics in its add-on acquisition of a Florida-based in-vitro diagnostic.
