Chris advises public and private companies, private equity firms, executive management teams, and individual executives on the design, implementation, and administration of compensation and benefit arrangements. This includes executive employment and severance agreements, consulting arrangements, retention, severance, and change-in-control plans, cash and equity-based incentive programs, and nonqualified deferred compensation plans. He also assists clients with tax planning, compliance with Internal Revenue Code Section 409A and the tax rules relating to nonqualified deferred compensation, the excise tax on excess parachute payments, and limits on the deductibility of executive compensation.
Chris frequently advises public and private companies, private equity firms, and real estate investment trusts (REITs) on executive compensation and benefits issues arising in the context of mergers, acquisitions, spin-offs, initial public offerings, and other corporate transactions. He also advises on the U.S. Securities and Exchange Commission (SEC) rules governing executive compensation disclosure and corporate governance matters arising in the executive compensation context.
In his pro bono work, Christopher represents clients in no-fault divorce proceedings.
