Emily is an associate in the firm’s Corporate practice. She focuses her practice on representing public companies in relation to securities offerings, private placements, and SEC compliance matters. Emily has experience representing companies across various industries, including energy and utility, life sciences, and real estate.

In addition to her capital markets practice, Emily advises public companies, private companies, and private equity funds on mergers and acquisitions, joint ventures, venture financing transactions, and other general corporate matters.

Emily also maintains an active pro bono practice, regularly advising nonprofit organizations on corporate governance and organizational matters.

  • Served as designated underwriters’ counsel for a Fortune 500 energy company and its operating subsidiaries.
  • Represented public companies in connection with registered notes offerings, including one of the world’s largest cash management companies, a Fortune 1000 natural gas energy company, and an NYSE-listed real estate investment trust.
  • Represented Hull Street Energy in connection with its acquisition of Bastrop Energy Center and Paris Energy Center from Atlas Holdings.

Pro Bono

  • Drafted corporate charters, bylaws, and operating resolutions for various nonprofit organizations and routinely advises on corporate governance matters.
  • Counseled several nonprofits seeking a tax-exempt determination under Internal Revenue Code Section 501(c)(3) and worked with them to complete the necessary filings.
