Kathleen focuses her practice on venture capital, private equity, and institutional private placements. She represents clients within the health care, retail, technology, insurance, pharmaceuticals, manufacturing, and utilities operations industries. Kathleen represents venture capitalists, angel investors, angel groups, institutional investors, startups, emerging growth companies, corporate venture funds, investment bankers, and equity sponsors in equity and debt transactions.

Kathleen lectures on entrepreneurship issues at the University of Chicago Booth School of Business and participates in the New Venture Challenge, Global New Venture Challenge, and Social New Venture Challenge. She is a speaker for the Clean Energy Trust (Evergreen Climate Innovations), Florida Venture Forum, Illinois Institute for Continuing Legal Education, and various other venture and private equity forums.

  • Represented an employee assistance company in a $285 million sale to a private equity investment firm.
  • Represented Peoples Gas System, Inc., in the issuance and sale of the company’s (i) 5.42% senior notes, series A, due December 19, 2028, (ii) 5.63% senior notes, series B, due December 19, 2033, and (iii) 5.94% senior notes, series C, due December 19, 2053, in an aggregate principal amount of $925 million.
  • Represented New Mexico Gas Company, Inc., in the issuance and sale of the company’s 6.36% senior unsecured notes, due October 19, 2033, in an aggregate principal amount of $100 million.
  • Represented Point of Rental in its investment by Susquehanna Growth Equity, a firm that invests in growth-stage technology companies in the software, information services, internet, and financial technology sectors.
  • Represented Chicago Pacific Founders, a health care private equity firm, in its $30 million series A investment in Tredence, Inc., a provider of analytics services and solutions.
  • Represented XSELL Technologies, Inc., in a growth equity investment from Sageview Capital.
  • Assisted a leading health insurance company in structuring, negotiating, and closing a next-stage investment of more than $60 million in a technology and services company that works with health plans and delivery systems around the U.S.
  • Represented Westlake Chemical Corporation, a global manufacturer and supplier of building products and infrastructure materials, in its investment in Nexii Building Solutions, Inc., headquartered in Vancouver, British Columbia.
  • Represented a health care investment fund to structure, document, and close the transition and acquisition of select assets owned by a behavioral health organization, to one of its portfolio companies.
  • Represented YCharts, a cloud-based investment analytics and communications platform, in its growth recapitalization by private equity firm LLR Partners in partnership with YCharts’ management team.
  • Represented Sokowatch Inc. in the closing of its $2 million series A preferred stock offering.
