  • Represented Adit EdTech Acquisition Corp., a special purpose acquisition company focused on businesses in the education, training, and education technology sectors, in its $276 million initial public offering.
  • Represented Anthem Sports & Entertainment Corp. in its purchase of a majority interest in HDNet LLC, the parent company of U.S. television networks AXS TV (US) and HDNet Movies (US).
  • Represented Journey Group in various acquisitions and dispositions of funeral home and cemetery businesses throughout the U.S.
  • Represented Antarctica Capital LLC in its acquisitions of parking management companies including Lanier Parking Solutions, Icon Parking Systems, Park One, Ameripark, and Quik Park.
  • Represented Uniti Group Inc. in its OpCo-PropCo partnership with Macquarie Infrastructure Partners to acquire Bluebird Network, LLC, an owner and operator of cable fiber throughout the midwest.
  • Represented Capmark Financial Group Inc. in the sale of its low-income housing tax credit asset loan portfolio to Hunt Companies, Inc. in a Section 363 bankruptcy auction.
  • Represented Medicinal Genomics Corporation, a private company focused on genetics-based cannabis testing and breeding technologies, in its offerings of private company equity and convertible debt.
  • Represented Agencourt Bioscience Corporation in connection with its merger with Beckman Coulter, Inc.
