He has substantial experience in middle-market finance transactions, including leveraged buyouts, working capital credit facilities, asset-based loans, and restructuring transactions. His practice includes acquisition financings, mezzanine financings, secured financings, proxy enforcements, and workouts.

  • Represented majority lender and agent in clubbed sponsor-backed acquisition financing of a $56 million term loan and revolver in connection with the purchase of an equipment rental company.
  • Represented asset-based lender and agent in connection with a $30 million term loan to a popular clothing retailer and negotiated intercreditor arrangements.
  • Represented second-lien lenders and administrative agent on a $85 million loan to a business in the hospitality industry.
  • Represented lenders and agent in a $115 million clubbed financing secured by all assets of aircraft leasing company.
  • Represented lender on a $65 million cross-border acquisition financing transaction involving UK collateral.
  • Represented lender in connection with cross-border forbearance agreement involving both US and UK debt.
  • Represented agent and lender in connection with a $70 million senior-secured financing to aviation company. Coordinated cross-border security package of aviation assets with Oklahoma federal aviation administration counsel and local lawyers in several foreign jurisdictions.
  • Served as counsel on pro bono matter in connection with the representation of a fourth grader in special education matter through the EdLaw Foundation; advocated to help remedy severe reading-based learning disabilities and obtain support services.
