Todd brings nearly 20 years of legal experience advising clients in transactions involving syndicated, club, and single lender financing in various industries. He has significant experience representing clients, such as banks, private equity funds, direct lenders, and other financial institutions, in connection with asset-based lending transactions, corporate credit facilities, private equity and fund finance matters (including NAV facilities, subscription and capital call facilities, secondaries facilities, leveraged lending, and other facilities secured by hedge fund shares or private equity interests), mezzanine and preferred equity real estate finance matters, and structured finance matters.
Todd also focuses his practice on representing clients in connection with margin loans, loans to registered investment companies and insurance companies, derivatives matters, prime brokerage matters, and advisory work with respect to Regulation U and other margin regulations. In addition to debt matters, Todd represents clients in connection with various equity matters, including seed funding and other venture capital matters, co-investments, joint ventures, and warrant issuances. Additionally, Todd provides a unique expertise to clients, having previously served as an assistant general counsel at one of the world's largest financial institutions.
