Todd brings more than 20 years of legal experience advising clients in corporate and financial transactions in various industries. He provides a unique and varied skillset to his clients and understands the needs and concerns of his clients having himself served as an assistant general counsel at one of the world’s largest financial institutions.
Todd has significant experience representing clients such as banks, private equity funds, SBIC funds and other financial institutions in connection with asset-based lending transactions, corporate credit facilities, private equity and fund finance matters (including NAV facilities, subscription and capital call facilities, secondaries facilities, loans to 40 Act funds, exchange funds and insurance companies and margin lending matters), mezzanine and preferred equity real estate finance matters and advising clients in connection with bespoke structured finance transactions.
Todd has also regularly advised clients in connection with margin regulations, the investment company act, and various other regulatory matters relevant to lending transactions with regulatory touch points. Additionally, he regularly represents clients in connection with various corporate matters, including mergers and acquisition matters, real estate acquisitions, preferred equity structures, seed funding and other venture capital matters, co-investments, joint ventures and warrant issues, and has served effectively as outside general counsel for various clients.
