Zach M. Corenblum

Zach is an associate in the firm’s Corporate practice. He advises private equity investors, strategic acquirers, and private companies on a broad range of corporate matters, including domestic and cross-border transactions, mergers, acquisitions, divestitures, carve-outs, and joint ventures. He frequently represents clients in the insurance industry in addition to clients from a wide variety of other industries. Zach also counsels companies on corporate governance, organizational issues, and general commercial contracting matters.

M&A

• Represented Marsh McLennan (NYSE: MMC) in its acquisition of McGriff Insurance Services, an insurance broker that offers risk management and insurance solutions to clients in the United States, from an affiliate of TIH backed by private equity firms Stone Point Capital and CD&R, in an all-cash transaction valued at approximately $7.75 billion.
• Represented Marsh & McLennan Agency LLC in its acquisition of Atlas Insurance Agency, Pyramid Insurance Centre, and IC International from Tradewind Group, a diversified Hawaii investment company.
• Represented a U.S.-based private equity fund in numerous platform and add-on investments in a wide range of industries, including software, outsourcing, and IT infrastructure transactions.
• Represented Hachette Book Group, Inc. in the acquisition of Sterling Publishing Co. Inc. from Barnes & Noble, the largest retail bookseller in the United States.
• Represented Marsh & McLennan Agency LLC in its acquisition of Hudson Shore Group Inc., a leading public- and private-sector employee benefits broker.
• Represented a U.S.-based private equity firm in its strategic acquisition of a franchise sales organization.
• Represented Marsh & McLennan Agency LLC in its acquisition of AC Risk Management, an independent commercial lines brokerage

Pro Bono

• Represented a nonprofit social enterprise in connection with certain corporate and transactional matters, including the review and negotiation of joint ventures with other public service organizations, review of leases, and certain vendor contracts.
